We are seeking an experienced and enthusiastic Senior Legal Counsel to join our Asset International legal team. In this role, you will actively support Division International and contribute to the successful implementation of Alpiq’s strategy to build a portfolio of flexible assets, with a strong focus on M&A transactions in the energy sector.

Your main responsibilities

  • Lead legal aspects of M&A transactions from initial offer to post-merger integration, ensuring strategic structuring to minimize risk and maximize value.
  • Oversee legal due diligence, identify critical issues, and advise senior management on mitigation strategies.
  • Draft, review, and negotiate transaction documents including LoIs, MoUs, SPAs, Shareholder Agreements, and Investment Agreements.
  • Coordinate with internal stakeholders and external advisors to ensure smooth deal execution.
  • Instruct and supervise external legal counsel across European jurisdictions.
  • Advise on corporate financing initiatives, including loan agreements and covenant structures.
  • Lead legal workstreams in project financing for energy infrastructure, including structuring finance packages and negotiating with lenders and co-investors.
  • Provide strategic input on financing models and risk allocation.
  • Draft and negotiate financing documents such as facility agreements, security packages, and intercreditor agreements.
  • Support post-closing activities including amendments, waivers, and refinancing.

Your profile

  • Qualified lawyer in a European jurisdiction with minimum 7 years of experience in domestic and cross-border M&A, ideally in the energy or infrastructure sectors.
  • Proven ability to draft complex legal documents and lead negotiations.
  • Fluent in English and Spanish
  • Strong commercial acumen and ability to align legal strategy with business goals.
  • Excellent communication, negotiation, and interpersonal skills.
  • Enthusiastic, proactive, and comfortable in dynamic, cross-functional environments.
  • Embraces change and innovation, with a collaborative mindset and open communication style.
  • High level of professional integrity, resilience, and flexibility, including willingness to travel to project locations when needed.
